By my signature below, I agree to all terms contained in the entry form and represent as follows:
1.) The information provided herein is complete and accurate.
2.) I own the film or video and all rights thereto.
3.) I authorize ESPN Productions, Inc. ("ESPN Productions") or its parent ESPN, Inc. to exploit the entry as follows:

to exhibit the entry at the Tube Film Festival (August 20-21, 2001) as many times as it deems appropriate. |

to distribute trailers for the entry via all means of television, via the internet and at the site of the ESPN X Games (August 17-23, 2001) with the understanding that the trailer submitted with the entry will not contain any music. |
| (c) |

to use my name as well as the names of those appearing in the entry to promote the Festival and, if applicable, the telecast of the entry. |
4.) ESPN Productions shall have the right but not the obligation to televise the winning entry.
5.) I represent that I have obtained all necessary licenses, clearances, and permissions required in connection with the production of the entry and its exploitation consistent with the terms of this agreement, including without limitation all applicable and necessary music master, mechanical, performance and synchronization rights and agreements for use of the names, likeness, trademarks and service marks of the individuals, entities, and events depicted in the entry. Upon request I shall furnish ESPN Productions with copies of all such licenses, clearances and permissions.
6.) ESPN Productions shall not be obligated to make any payment of any kind to me or anyone else related to the entry, its underlying material, or for the right to distribute the entry as set forth herein.
7.) I will indemnify, defend and hold ESPN Productions, Inc., its parent and affiliated companies, Outland Films and its owners and employees and the owners of the venue at which the festival is held, harmless from any and all claims, costs, liabilities, judgements, expenses or damages (including reasonable attorneys' fees) arising out of any breach or alleged breach of or any representation made herein (including but not limited to any claim by a third party that the exercise by ESPN Productions, Inc., its parent and affiliates of the rights granted herein infringes that third party's rights).
